1. Acceptance of Terms
By creating an account or using LoneDiner, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the app. LoneDiner is operated by Cobta Technologies LLC, a Texas limited liability company. We may update these Terms from time to time, and your continued use constitutes acceptance of any changes.
2. Eligibility
You must be at least 18 years of age to use LoneDiner. By registering, you represent and warrant that you meet this age requirement and that all information you provide is accurate and truthful. LoneDiner is available only to residents of the United States and Canada.
3. Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@lonediners.com of any unauthorized access. LoneDiner is not liable for any loss arising from unauthorized use of your account.
4. Acceptable Use
You agree to use LoneDiner only for lawful purposes and in accordance with these Terms. You will not: • Harass, threaten, or intimidate other users • Post false, misleading, or deceptive information • Impersonate another person or entity • Use the app for advertising, promotions, commercial solicitation, lead generation, or business outreach unless you are using an authorized LoneDiner business account or have received our prior written permission • Attempt to reverse-engineer, disrupt, or compromise the app • Use automated means to access the service • Upload content that is illegal, offensive, or violates these Terms • Use the app if you are a registered sex offender
5. User-Generated Content
You retain ownership of content you post on LoneDiner, including photos, profile information, dining plans, messages, and reflections. By posting content, you grant Cobta Technologies LLC a worldwide, royalty-free, non-exclusive, sublicensable, transferable license to use, reproduce, modify, adapt, publish, and display such content for as long as your content remains on the platform or as reasonably needed to operate, improve, and promote our services. You represent that you own or have the rights to all content you post, and that your content does not violate any third-party rights or applicable laws.
6. Copyright Policy (DMCA)
LoneDiner respects intellectual property rights and expects users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond to valid notices of copyright infringement. If you believe your copyrighted work has been infringed, please send a written notice to our designated DMCA agent: Cobta Technologies LLC Attn: DMCA Agent 500 Westinghouse Rd Georgetown, TX 78626 Email: support@lonediners.com Your notice must include: • A physical or electronic signature of the copyright owner or authorized agent • Identification of the copyrighted work claimed to have been infringed • Identification of the infringing material and its location in the app • Your contact information including address, telephone number, and email • A statement of good faith belief that the use is not authorized • A statement, under penalty of perjury, that the information is accurate Upon receiving a valid DMCA notice, we will promptly remove or disable access to the allegedly infringing content. Repeat infringers will have their accounts terminated. Counter-Notification: If you believe your content was wrongly removed, you may submit a counter-notification to the same address above.
7. Intellectual Property
LoneDiner, including its name, logo, design, source code, features, and all content created by Cobta Technologies LLC, is protected by copyright, trademark, and other intellectual property laws. All rights are reserved by Cobta Technologies LLC. "LoneDiner" is a trademark of Cobta Technologies LLC. You may not use our trademarks, logos, trade names, or trade dress without our prior written consent. You are granted a limited, non-exclusive, non-transferable, revocable license to use LoneDiner solely for your personal, non-commercial purposes as permitted by these Terms. No other rights are granted.
8. Feedback
If you provide us with any feedback, suggestions, ideas, or recommendations regarding LoneDiner ("Feedback"), you hereby assign to Cobta Technologies LLC all rights in such Feedback. We shall have the right to use and fully exploit such Feedback in any manner we consider appropriate, without any obligation, restriction, or compensation to you. You represent that your Feedback does not contain confidential or proprietary information of any third party.
9. Chat and Meet-Up Conduct
LoneDiner facilitates connections between users for dining experiences. You agree to: • Treat all users with respect and courtesy • Meet in public places for dining • Not use the messaging system for spam, solicitation, or inappropriate content • Report any concerning behavior through the in-app reporting tools LoneDiner is not responsible for the conduct of any user, whether online or offline.
10. Dining Plans
LoneDiner supports three dining plan types: 10a. Here Now: You are currently at a restaurant and open to dining companions joining you. The meetup confirmation button becomes available 30 minutes after the plan is created. 10b. Going Soon: You have a planned dining time and want someone to join. The meetup confirmation button becomes available 30 minutes after the scheduled plan time. 10c. Open Invite: A flexible, time-open invitation for someone to dine with you. The meetup confirmation button becomes available 48 hours after the plan is created to allow adequate time for coordination. Plans expire after their scheduled time has passed. LoneDiner reserves the right to remove any plan that violates these Terms.
11. Plan Views and Viewer Data
LoneDiner Plus and Concierge subscribers can see who has viewed their dining plans. View data is collected solely to provide this feature and is not shared with third parties. Free users cannot access viewer data.
12. Location Services
LoneDiner may request access to your device location to show nearby dining plans, nearby restaurants, and location-based discovery results. Location data may be processed to calculate approximate proximity and improve location-dependent features. We do not use location data to verify meetups, track your real-time movement, or share your precise live location with other users. You may use a zip or postal code instead of device location where available. You may disable location permissions through your device settings, though doing so may limit certain discovery features. Location-related data is retained only as described in our Privacy Policy.
13. Safety Disclaimer
LoneDiner provides tools to help you stay safe, including identity verification, user reporting, blocking, and Safety Share. However, we cannot guarantee your safety when meeting other users in person. Always meet in public places, tell someone where you are going, and trust your instincts. If you feel unsafe, leave immediately and report the user through the app.
14. No Guarantees
LoneDiner does not guarantee that you will find a dining companion, make a connection, or have a positive experience. The quality and availability of dining companions varies by location and time.
15. Subscriptions and Billing
LoneDiner offers optional paid subscription tiers, including Plus and Concierge. Subscriptions are billed through Apple's App Store and are subject to Apple's terms and conditions for in-app purchases. LoneDiner may offer promotional free access, trial periods, promo codes, or referral rewards from time to time. The exact offer, duration, eligibility requirements, and subscription tier will be shown at signup, in the app, or in the applicable promotional materials. Promotional offers may vary by user, city, region, launch period, referral status, or other eligibility criteria. Unless cancelled before the end of the applicable promotional or trial period, paid subscriptions automatically renew at the price shown at signup. Your Apple ID will be charged for renewal within 24 hours before the end of the current billing period unless you cancel at least 24 hours before the end of the current period. You can manage and cancel your subscription at any time in your device's Settings → Apple ID → Subscriptions → LoneDiner. Cancelling stops future renewals, but you retain access until the end of the current paid or promotional period, unless your account is suspended or terminated for violation of these Terms. Refunds for App Store purchases are handled by Apple in accordance with Apple's refund policies. Plus subscribers receive access to advanced discovery filters, plan insights, priority requests, dining reflections, read receipts, and increased daily plan limits. Concierge subscribers receive all Plus features plus boosted visibility, a premium badge, additional AI-assisted tools, Travel Mode, and the highest daily plan limits. Prices are shown in the app before purchase and may vary by country, region, taxes, currency, and App Store settings.
16. Dining Reflections and AI Features
Dining Reflections is a personal journal feature available to Plus and Concierge subscribers. After confirming a meetup, you can create a personal reflection about your dining experience including ratings, notes, and AI-generated narrative. Reflections are entirely personal — they are your own private journal entry and are not shared with or visible to the other user. Each user manages their own reflections independently. AI-generated content including profile bios, dining reflections, and other AI-assisted features may be inaccurate, incomplete, or not fully representative of your actual experience. You should carefully review all AI-generated content before posting or sharing it. LoneDiner is not liable for any inaccuracies in AI-generated content. Reflections can be edited or deleted at any time from the Reflections tab.
17. Phone Verification
LoneDiner offers optional phone verification to help establish trust between users. A verified phone badge indicates that a user has completed phone verification at a specific point in time. Phone verification does not constitute a background check or guarantee of identity. Each phone number may only be associated with one LoneDiner account. If your account is suspended, your phone number may be retained to prevent circumvention of our safety systems. 17a. Identity Verification (Gold Verified) LoneDiner offers optional identity verification for a Gold Verified badge. During verification, you photograph a government-issued ID document which is transmitted to our AI verification service (Anthropic) solely to verify document authenticity and confirm your name and date of birth. By choosing to complete identity verification, you explicitly consent to the temporary processing and analysis of the identity document image you submit. We aim to delete verification images after analysis is complete, unless limited retention is necessary for security, fraud prevention, legal compliance, troubleshooting, or as otherwise described in our Privacy Policy. Only the verification result (verified or not verified), your name, and date of birth as confirmed by the document may be stored in your account. We do not collect, store, or analyze biometric identifiers such as facial geometry, fingerprints, or retina scans. We do not sell verification data or identity document images. You may withdraw consent or request deletion of verification-related data by deleting your account or contacting support@lonediners.com. Withdrawal of consent may remove your verification status. Identity verification does not constitute a background check, criminal history check, guarantee of identity accuracy, endorsement of character, or guarantee of safety.
18. Meetup Confirmation
After a dining plan's scheduled time has passed — or 30 minutes after a Here Now plan is created, or 48 hours after an Open Invite plan is created — a confirmation button becomes available in the chat between matched users. Tapping the button prompts you with "Did you meet [Name]?" You may choose Yes or No. This confirmation is entirely self-reported and independent per user — the other user's response does not affect yours. If you confirm Yes: • You are taken to the Dining Reflections flow for that plan • The other user's profile becomes colored (unlocked) in your Reflections tab • The confirmation button turns green LoneDiner does not use GPS proximity or location data to verify meetups. Confirmation is based solely on your self-reported response.
19. Launch Promotional Program
19a. Eligibility: The LoneDiner Launch Promotional Program is available to users who join the official waitlist at lonediners.com prior to the app's official launch date. 19b. Geographic Restriction: The Program is available to waitlist users in the United States and Canada only. 19c. Founding Member Status: The first 50 users to join the waitlist in each city ("Founding Members") receive 90 days of Concierge access free, beginning on the official launch date (August 1, 2026). Users who join the waitlist after the first 50 in their city ("Early Members") receive 90 days of Plus access free, beginning on the official launch date. 19d. Promo Codes: Each waitlist member receives a unique promo code via email. Codes must be redeemed within the app to activate promotional benefits. 19e. Referral Bonus: If you refer 3 friends who sign up using your personal referral link, you receive an additional 90 days of your tier free, beginning when your 3rd referral completes signup. 19f. Referral links are personal and non-transferable. Fraudulent referrals will result in disqualification from the Program and potential account termination. 19g. Promotional benefits are non-transferable and have no cash value. 19h. Cobta Technologies LLC reserves the right to modify or terminate the Program at any time with reasonable notice.
20. Account Suspension and Bans
20a. LoneDiner reserves the right to suspend or permanently ban any account that violates these Terms, engages in harmful behavior, or poses a safety risk to other users. 20b. Upon account suspension or termination, you may lose access to LoneDiner, including your profile, matches, messages, dining plans, reflections, and premium features. We may restrict or remove access to premium features within the app, subject to applicable law and App Store rules. Refunds for App Store purchases are handled by Apple in accordance with Apple's refund policies. Suspension or termination of your LoneDiner account does not automatically entitle you to a refund from LoneDiner. Existing messages, reports, safety records, or other content may be retained for a limited period where necessary for safety, fraud prevention, legal compliance, dispute resolution, or enforcement of these Terms. 20c. If your account is suspended, you may appeal by contacting support@lonediners.com. 20d. LoneDiner uses an automated reporting system. Accounts reported by multiple unique users are flagged for review. 20e. Banned users may not create new accounts. Phone numbers associated with banned accounts are retained to prevent circumvention. 20f. LoneDiner cooperates with law enforcement when required by law.
21. Communications Consent
21a. By joining LoneDiner's waitlist or creating an account, you consent to receive transactional and marketing emails from us. 21b. You may unsubscribe from marketing emails at any time by clicking the unsubscribe link in any email or visiting lonediners.com/unsubscribe. 21c. Transactional emails related to your account and subscription cannot be opted out of while your account is active. 21d. By enabling push notifications, you consent to receive notifications from LoneDiner. You can manage notification preferences in the app settings or your device settings at any time.
22. Assumption of Risk
By using LoneDiner, you voluntarily and knowingly assume all risks associated with meeting other users in person. These risks include but are not limited to physical harm, theft, harassment, assault, sexual misconduct, emotional distress, financial loss, or any other injury or damage. LoneDiner provides a platform to facilitate connections between consenting adults. We have no control over and expressly disclaim all responsibility for the actions, behavior, intentions, or conduct of any user before, during, or after any in-person meeting. You acknowledge that: • You are solely responsible for your own safety and wellbeing • You will exercise your own judgment in deciding whether to meet any user in person • You will take all reasonable precautions for your personal safety including meeting in public places and informing trusted contacts of your plans • LoneDiner's safety features (including verification badges and safety share) are tools to assist you, not guarantees of safety
23. User Responsibility for Vetting
LoneDiner's platform is designed to give you full control over who you meet. You are solely and completely responsible for: • Reviewing another user's profile, photos, and information before agreeing to meet • Using the in-app chat to communicate with and evaluate potential dining companions before revealing your plan details • Making your own independent decision about whether to reveal your dining plan location and time • Conducting your own due diligence on any user before meeting them in person The LoneDiner platform is specifically designed so that exact restaurant location and timing details are only revealed when YOU choose to share them. This control is intentionally placed in your hands. By choosing to reveal your plan details or accept a revelation from another user, you assume full responsibility for that decision and its consequences. LoneDiner shall have no liability whatsoever for any harm, loss, or damage arising from your decision to meet another user in person, regardless of whether that user was verified on our platform.
24. Verification Disclaimer
LoneDiner offers optional phone and identity verification features. These features indicate only that a user completed our verification process at a specific point in time. Verification does NOT constitute: • A background check • A criminal history check • A guarantee of identity accuracy • An endorsement of a user's character, intentions, or safety • A warranty of any kind regarding a user's behavior Users may misrepresent themselves despite completing verification. LoneDiner expressly disclaims all liability for harm resulting from user misrepresentation, regardless of verification status. You should never rely solely on a verification badge when deciding whether to meet someone in person.
25. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY TEXAS LAW AND APPLICABLE FEDERAL LAW, LONEDINER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that: • The app will be uninterrupted, timely, secure, or error-free • Results obtained from using the app will be accurate or reliable • Any defects will be corrected • The app or servers are free of viruses or harmful components • Restaurant information is accurate, current, or complete Your use of LoneDiner is entirely at your own risk.
26. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COBTA TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: • Personal injury, bodily harm, or death arising from in-person meetups facilitated through the app • Loss of profits, revenue, data, business, or goodwill • Unauthorized access to or alteration of your data • Actions, conduct, or content of any user or third party • Any content posted or transmitted through the app • Service interruptions or outages • Harm arising from your decision to meet another user in person OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM YOUR USE OF LONEDINER SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO LONEDINER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY EXCLUSIONS. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
27. Indemnification
You agree to defend, indemnify, and hold harmless Cobta Technologies LLC and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: • Your use of or inability to use LoneDiner • Your violation of these Terms • Your violation of any rights of another user or third party • Any in-person meeting you arrange or participate in through the app • Any content you submit, post, or transmit through the app • Your misrepresentation of any information to other users • Your negligent or wrongful conduct
28. Food and Dining Disclaimer
LoneDiner is not a restaurant, food service, or hospitality provider. We are not responsible for the quality, safety, hygiene, accuracy, or availability of any restaurant or food establishment featured in or discovered through the app. Restaurant information is sourced from third-party data providers and may be inaccurate, outdated, or incomplete. We are not liable for any illness, injury, allergic reaction, food poisoning, financial loss, or any other harm arising from dining at any establishment discovered through LoneDiner.
29. Third-Party Services
LoneDiner integrates with third-party services including Firebase (Google), RevenueCat, OpenAI, Anthropic, Apple Sign In, Google Sign In, Google Places, and Overture Maps. Each third-party service is governed by its own terms and privacy policies. We are not responsible for the availability, accuracy, reliability, or practices of any third-party service. Service outages, data losses, or failures caused by third-party providers are beyond our control and we accept no liability for any resulting harm or inconvenience.
30. Safety Guidelines
By using LoneDiner, you acknowledge that you have read and agree to follow our safety guidelines, including: • Always meet in public, well-lit places for initial meetings • Tell a friend or family member where you are going and who you are meeting • Use LoneDiner's Safety Share feature to share your plan details with a trusted contact • Trust your instincts — if something feels wrong, leave • Never share personal financial information with other users • Report any suspicious behavior using the in-app reporting feature Failure to follow these guidelines does not create liability for LoneDiner but may increase your personal risk.
31. Apple App Store Additional Terms
The following additional terms apply if you downloaded LoneDiner from the Apple App Store: • The license granted to you is limited to a non-transferable license to use LoneDiner on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple App Store Terms of Service. • Cobta Technologies LLC, not Apple Inc., is solely responsible for LoneDiner and its content. • Apple has no obligation whatsoever to provide any maintenance or support services with respect to LoneDiner. • In the event of any failure of LoneDiner to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to LoneDiner. • Cobta Technologies LLC, not Apple, is responsible for addressing any claims by you or any third party relating to LoneDiner, including product liability claims, claims that LoneDiner fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation. • In the event of any third-party claim that LoneDiner or your possession and use of LoneDiner infringes that third party's intellectual property rights, Cobta Technologies LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim. • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
32. Privacy and Data Handling
Your use of LoneDiner is also governed by our Privacy Policy, available at lonediners.com/privacy. By using LoneDiner, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. In the event of a conflict between these Terms and our Privacy Policy regarding the collection, use, retention, or deletion of personal information, the Privacy Policy will control with respect to privacy and data handling matters.
33. Termination and Suspension
Cobta Technologies LLC reserves the right to terminate or suspend your account at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use LoneDiner immediately ceases. You may delete your account at any time through the app settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.
34. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. ARBITRATION AGREEMENT: You and Cobta Technologies LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of LoneDiner shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. CLASS ACTION WAIVER: YOU AND COBTA TECHNOLOGIES LLC EXPRESSLY WAIVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION OR PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY. EXCEPTION: Either party may seek emergency injunctive relief in a court of competent jurisdiction in Travis County, Texas to prevent irreparable harm pending arbitration. Small Claims: Either party may also bring individual claims in a small claims court of competent jurisdiction as an alternative to arbitration, provided the claim qualifies for small claims court. JURY TRIAL WAIVER: BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTES ARISING FROM YOUR USE OF LONEDINER. Nothing in these Terms limits any rights you may have under the Texas Deceptive Trade Practices Act (DTPA) or other applicable consumer protection laws that cannot be waived by contract. If you have a dispute, you must first contact us at support@lonediners.com to attempt informal resolution before initiating arbitration. California Residents: Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
35. Entire Agreement
These Terms, together with our Privacy Policy available at lonediners.com/privacy, constitute the entire agreement between you and Cobta Technologies LLC regarding your use of LoneDiner. These Terms supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the parties relating to the subject matter herein. No modification of these Terms shall be binding unless made in writing and posted by Cobta Technologies LLC.
36. Assignment
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any purported assignment in violation of this section shall be null and void. Cobta Technologies LLC may assign these Terms, in whole or in part, at any time without notice to you, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
37. Notices
Any notices or other communications provided by Cobta Technologies LLC under these Terms will be given by posting to the app or by email to the address associated with your account. 38. Severability
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
39. Changes to Terms
We reserve the right to modify these Terms at any time at our sole discretion. We will notify you of material changes via email or in-app notification at least 30 days before changes take effect. Your continued use of LoneDiner after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using LoneDiner.
